Wallet Service Agreement

**Thank you for using the Platform Wallet service. This Platform Wallet Service Agreement (hereinafter referred to as the "Agreement") is entered into between HORIZONBAY TECH LIMITED (hereinafter referred to as the "Platform") and you.**

**I. Acknowledgement of the Platform Wallet Service Agreement**

1. The Platform hereby specifically reminds you to carefully read this Agreement before using the Platform Wallet service to ensure you fully understand the meaning of each clause herein. Please read this Agreement carefully and choose to accept or not accept it. Unless you accept all terms of this Agreement, you are not entitled to use the Platform Wallet service. Your use and other actions will be deemed as acceptance of this Agreement and agreement to be bound by its terms.
2. This Agreement may be updated by the Platform at any time. Once updated terms are published, they will replace the original terms without further notice. Users may review the latest version of the agreement terms on this platform. After the Platform modifies the terms, if the user does not accept the modified terms, please immediately cease using the Platform Wallet service. Continued use of the Platform Wallet service will be deemed as acceptance of the modified agreement.
3. If you are a person without or with limited capacity for civil conduct, please inform your guardian and read this Agreement and use the Platform Wallet service under their guidance.

**II. Definitions Related to Platform Wallet Services**

1. **Platform ID:** Refers to the number you obtain in accordance with the methods stipulated in this Platform's "User Agreement" for logging into this Platform and using certain Platform services.
2. **Platform Wallet Account (or "Account"):** Refers to the account you obtain after logging into this Platform using your Platform ID and agreeing to this Agreement, for the purpose of using Platform services to pay the Platform for goods or services provided to you. After obtaining a Platform Wallet account, your Platform ID becomes your Platform Wallet account number.
3. **Account Balance:** Refers to the amount of funds you have prepaid to the Platform or received as a gift from a third party for purchasing Platform goods or services, which can be used to offset the price of Platform goods or services.
4. **Identity Elements:** Refers to information elements used by the Platform to identify you, including but not limited to your Platform ID, mobile phone number, Platform Wallet account, payment password, SMS verification code, ID number, etc.
5. **This Platform:** Unless otherwise stipulated in this Agreement, refers to the "Platform" mobile application software.
6. **Competent Authority:** Refers to units authorized by laws and regulations to require measures such as inquiry, freezing, or deduction of funds, including but not limited to public security organs, procuratorates, courts, customs, and tax authorities.
7. **Freeze:** Refers to freezing as required by a competent authority. Frozen balances cannot be used for payments, transfers, or sending red packets, etc. Frozen accounts cannot be logged into or used.
8. **Restriction:** Refers to situations other than freezing where some or all functions of the Platform Wallet cannot be used, and the Platform Wallet account balance cannot be used.
9. **Payment Stop:** A type of restriction measure where the Platform Wallet balance cannot be used, such as for payments, transfers, or sending red packets, etc.
10. **Balance Service:** Refers to your Platform Wallet account balance being usable to offset the price payable to the Platform for goods or services provided by the Platform to you, such as recharging diamonds, purchasing virtual vehicles, purchasing avatar frames, etc., as well as transferring or refunding to the designated recipient's Platform Wallet account per your instructions.

**III. Services Provided by Platform Wallet to You**

1. **Recharge Service:** You may recharge funds from your bank card or third-party payment platform account to your Platform Wallet account for the purpose of conveniently purchasing Platform goods or services at any future time.
2. **Payment Service:** You may use an equivalent amount from your Platform Wallet balance to offset the price payable to the Platform when purchasing goods or services from the Platform at any future time, such as recharging diamonds, purchasing Platform virtual vehicles, or avatar frames. After successful offset, your Platform Wallet balance will be correspondingly deducted.
3. **Sending Red Packets:** You may apply to the Platform to transfer all or part of your Platform Wallet balance and gift it to a designated third-party user of this Platform, or use this Platform's random distribution rules to gift a specific amount of balance to a specific group of people. Upon the Platform's approval, the Platform will deposit the corresponding amount into their Platform Wallet account or their third-party payment platform account based on the choices and instructions of such third parties. If such third parties do not accept your gift within a certain period, the funds will automatically be refunded to your Platform Wallet. You agree that when you use funds from your bank card or third-party payment platform account to gift to a designated third-party user of this Platform or use this Platform's random distribution rules to gift a specific amount to a specific group of people, if such third parties do not accept your gift within a certain period, the funds will be refunded to you and recharged into your Platform Wallet.

**IV. Registration and Use of Platform Wallet Account**

1. **Registration**

   After completing the registration and activation of your Platform ID, you can use certain Platform Wallet services; you may further apply and, after verification by the Platform, use more Platform Wallet services. Specific verification methods are subject to the prompts within this Platform.

2. **Use**

   Identity elements are the basis for the Platform to identify you. Please keep them secure. Any operations or instructions issued using identity elements are deemed to be made by you. Risks, responsibilities, losses, costs, etc., arising from the impersonation, theft, or illegal use of your account, password, or other information due to your reasons shall be borne solely by you. You agree:

   (1) Based on different terminals and your usage habits, the Platform may adopt different verification measures to identify your identity. For example, if your Platform Wallet account is logged into on a new device for the first time, the Platform may identify your identity through a password plus verification code.

   (2) To ensure the security of your account balance, please set passwords for your mobile phone and other devices differently from your Platform ID and Platform Wallet account passwords. If you discover that someone is impersonating or has stolen your Platform ID or Platform Wallet password, or if your mobile phone or other relevant device is lost, please immediately notify the Platform in an effective manner; you may also apply to the Platform to suspend or stop all or part of the Platform Wallet services.

   (3) The Platform ID and Platform Wallet account are for your personal use only and are non-transferable, non-borrowable, non-giftable, and non-inheritable, except that related property rights within the Platform Wallet account may be legally inherited.

   (4) Based on operational and transaction security needs, the Platform may suspend or restrict certain functions of the Platform service or add new functions.

**V. Precautions for Using Platform Wallet Services**

1. **Identity Verification**

   During your use of Platform Wallet services, especially when recharging large amounts to the Platform Wallet or applying to transfer large account balances, to ensure your legal rights and compliance with relevant national laws and regulations, the Platform has the right to require you to provide lawful, authentic, valid, and complete documentation (including but not limited to ID card, linked bank card, linked verified third-party payment platform account, household register, passport, business license, account opening permit, proof of occupation, contact information, communication address) for identity verification. To verify your information (including but not limited to identity information, bank account information) promptly and effectively, in accordance with laws, regulations, regulatory provisions, or when the Platform deems it necessary, you agree that we may provide your information to third parties and that third parties may provide your information to the Platform for verification purposes. You should ensure that your Platform ID, associated mobile phone number, and third-party payment platform account are legally owned by you.

2. **Under the following circumstances, the Platform may impose a payment stop on your Platform Wallet account or balance and has the right to restrict the functions of the products or services you use:**

   (1) You violate the terms of this Agreement;

   (2) As required by laws, regulations, or legal documents;

   (3) As required by a competent authority;

   (4) When operations on your Platform Wallet account, balance flows, etc., are abnormal; when your Platform Wallet account may pose a risk;

   (5) You are complained against by others, and the other party has provided certain evidence;

   (6) You may have mistakenly operated another person's Platform ID or Platform Wallet account, or performed identity verification on a Platform ID or Platform Wallet account.

   (7) Except for circumstances specified in (2) and (3), if you apply to restore services or lift the aforementioned payment stop or restriction, please provide relevant materials and identification documents to the Platform for verification.

   (8) If the Platform permanently bans your Platform ID or Platform Wallet account based on circumstances (1), (2), or (3) above, the Platform will arrange to refund your Platform Wallet balance to your linked third-party payment platform account. If the refund is unsuccessful due to reasons related to your linked third-party payment platform account or if you have not linked such an account, you must provide relevant materials and identification documents to apply for a balance refund from the Platform.

**VI. Platform Wallet Service Rules**

1. The rechargeable amount, transferable amount, amount you can gift to third parties, etc., within the Platform Wallet service may vary due to reasons such as your risk control, identity element verification, and protecting your legal rights. Specific limits are subject to prompts or announcements within this Platform.
2. You acknowledge that the usage records, transaction data, etc., of your Platform Wallet balance are subject to the Platform's system records. If you have any objection to such data, you may promptly raise it with the Platform and provide relevant evidence for verification.
3. During your use of Platform Wallet services, the content of this Agreement, operational prompts appearing on this Platform, or information sent by the Platform to your mobile phone constitute relevant rules for using Platform Wallet services.
4. The Platform will notify you via platform announcements, SMS, phone calls, in-site messages, or client notifications, such as informing you of the progress of Platform Wallet balance recharges or deductions, or prompting you to perform relevant operations. Please pay timely attention.
5. You shall bear any risks, such as currency depreciation or Platform price increases for related goods or services, during your use of Platform Wallet services.

**VII. Service Fees**

When you use funds from your third-party payment platform account or use a third-party payment channel to pay funds from your bank account to recharge your Platform Wallet account, or when you use funds recharged into your Platform Wallet from any third party via red packets sent using the above funds or methods to receive a red packet as a gift, such payment platforms or channels may charge the Platform a certain handling fee. When you use your wallet balance to offset the price payable to the Platform for goods or services purchased from the Platform at any future time, the Platform will bear the handling fee charged by the payment platform for the corresponding recharge amount of the offset balance; the Platform also has the right to decide, based on operational circumstances, to bear the above handling fees for you for a certain period without further notice.

**VIII. User Commitment to Legally Using Platform Wallet Services**

1. You shall comply with the relevant laws and regulations of the People's Republic of China and the laws and regulations of the country or region where you belong, reside, or conduct business or other activities. You shall not use Platform Wallet services for any illegal purpose (including illegal activities such as money laundering) nor use Platform Wallet services in any illegal manner.
2. You shall not use Platform Wallet services to infringe upon the legitimate rights and interests of others. Otherwise, the Platform has the right to investigate, delay settlement, or refuse to provide Platform Wallet services, and you shall bear all relevant legal liabilities. If this causes damage to the Platform or other parties, you shall be liable for compensation.
3. The above Clauses 1 and 2 apply to situations including but not limited to:

1. Infringing upon others' rights to reputation, privacy, trade secrets, trademarks, copyrights, patents, and other legitimate rights and interests.
2. Violating statutory or contractual confidentiality obligations.
3. Impersonating others to use Platform Wallet services.
4. Engaging in illegal transactions, such as money laundering, terrorist financing, trafficking of firearms, drugs, prohibited medicines, pirated software, pornography, or other items deemed by the Platform as unsuitable for transaction using Platform Wallet services.
5. Providing gambling information or inducing others to participate in gambling in any way.
6. Engaging in any actions that may harm the Platform Wallet service system or data.

4. You understand that Platform Wallet services rely on the accurate operation of the system. In case of system errors, faults, or other reasons causing display errors, improper gains by you or the Platform, etc., you agree that the Platform may take appropriate corrective measures such as correcting errors or deducting funds.

**IX. Rights Protection and Privacy Protection**

1. **Security of User Account Balance**

   The Platform always prioritizes protecting the security of users' account balances, separates live streaming earnings from user account balances, and commits not to misappropriate or occupy user account balances. If you incur balance losses in your Platform Wallet account due to theft of your account or password during your use of Platform Wallet services, subject to the Platform's approval, you may authorize the Platform to seek recourse on your behalf from the relevant responsible third party or compensation institution. Except as otherwise agreed between you and the Platform.

2. **Protection of User Rights and Privacy**

   The Platform emphasizes protecting users' legitimate rights and privacy. The protection and regulation of your identity information and other specific information are governed by this Platform's "User Agreement." The Platform commits to safeguarding your legitimate rights and interests in accordance with this Platform's "User Agreement" and the relevant terms of this Agreement.

**X. Force Majeure, Disclaimer**

The Platform shall not be liable for any inability to provide normal services due to the following reasons:

(1) System downtime for maintenance or upgrade of the Platform;

(2) Force majeure events such as typhoons, earthquakes, floods, lightning, or terrorist attacks;

(3) Malfunctions in the user's mobile phone or other mobile communication terminal software/hardware, communication lines, or power supply lines;

(4) User's improper operation or use of Platform Wallet services through unauthorized or unapproved methods by the Platform;

(5) Reasons such as viruses, Trojan horses, malicious program attacks, network congestion, system instability, system or equipment failure, communication failure, power failure, bank reasons, third-party service defects, or government actions.

(6) Notwithstanding the foregoing, the Platform will take reasonable actions to actively restore normal service.

**XI. Complete Agreement**

This Agreement consists of the Platform's "User Agreement," the terms of this "Platform Wallet Service Agreement," and various rules published by the Platform from time to time. If any matter is stipulated in the rules but not in this Agreement, the rules shall prevail. If any part of this Agreement is deemed illegal or invalid by a competent court, the validity of the remaining parts shall not be affected.

**XII. Protection of Intellectual Property Rights**

1. All systems of the Platform and its affiliates and all content on this Platform, including but not limited to works, images, files, information, materials, website structure, website layout, and web design, are the intellectual property of the Platform or its affiliates, including but not limited to trademarks, patents, copyrights, and trade secrets.
2. No one may use, modify, reverse compile, copy, publicly disseminate, alter, distribute, or publicly publish the programs or content of this website without the written consent of the Platform or its affiliates.
3. Respecting intellectual property rights is your obligation. Any violation shall result in liability for damages.

**XIII. Governing Law and Jurisdiction**

The validity, interpretation, modification, execution, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising from this Agreement shall be resolved in accordance with the laws of the People's Republic of China and shall be under the jurisdiction of the people's court where the Platform is located.
